1. Acceptance of Terms

By accessing or using Agent Forja ("Service"), a product operated by Tarik Fashion Company ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Agent Forja is an AI-powered platform that allows users to build, customize, deploy, and manage AI-powered chat agents and voice agents for their businesses. The Service includes:

AI-powered chat agent creation and customization
Knowledge base management (website scraping, file uploads)
Embeddable chat widgets for websites
Conversation analytics and lead capture
AI voice agent capabilities
API access for integrations

3. Account Registration

To use the Service, you must create an account by providing a valid email address or signing in via Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You agree to:

Provide accurate and complete information
Keep your account information up to date
Notify us immediately of any unauthorized access
Not share your account with third parties

4. Subscription Plans & Billing

4.1 Merchant of Record

All payments for Agent Forja are processed by Lemon Squeezy ("Lemon Squeezy"), which acts as our Merchant of Record and authorized reseller. Lemon Squeezy handles all billing, invoicing, tax collection (including VAT, GST, and sales tax), and payment processing on our behalf. Your purchase constitutes a transaction between you and Lemon Squeezy, governed by Lemon Squeezy's Terms of Service.

4.2 Free Tier

New users receive 50 free credits upon signup. Free credits do not expire but are non-transferable.

4.3 Paid Plans

Paid subscriptions are billed according to the plan selected at the time of purchase. Prices are displayed on our pricing page and may be updated with 30 days' notice. All prices are exclusive of applicable taxes; Lemon Squeezy will calculate and add applicable taxes at checkout.

4.4 Lifetime Deals

Lifetime deal purchases grant access to the Service for the lifetime of the product, subject to fair usage limits specified in the plan. "Lifetime" refers to the operational life of the Service, not the purchaser's lifetime.

5. Acceptable Use

You agree not to use the Service to:

Generate illegal, harmful, abusive, or deceptive content
Impersonate another person or entity
Send spam or unsolicited communications
Violate any applicable law or regulation
Attempt to reverse-engineer, hack, or disrupt the Service
Use the Service for any purpose that competes directly with Agent Forja
Scrape or harvest data from other users' AI agents without permission
Upload malware, viruses, or malicious code

We reserve the right to suspend or terminate accounts that violate these terms without notice.

6. Intellectual Property

6.1 Your Content

You retain ownership of all content you upload to the Service (knowledge base documents, training data, agent configurations). By uploading content, you grant us a limited license to process it solely for providing the Service.

6.2 Our Property

The Service, its design, code, AI models, and all associated intellectual property remain the exclusive property of Tarik Fashion Company. You may not copy, modify, or distribute any part of our platform.

6.3 AI Agent Output

AI-generated responses are provided "as-is" and may not always be accurate. You are responsible for reviewing and moderating AI agent outputs deployed to your end users.

7. Data, Privacy & Administrative Access

Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.

Our authorized personnel may access your account data, agent configurations, knowledge base, and conversation logs on a minimum-necessary basis for the purposes of providing the Service, technical support, abuse prevention, plan enforcement, and legal compliance. For full details, refer to Section 4 of our Privacy Policy.

8. Data Hosting

All Service data, including your AI agent configurations, knowledge base, and conversation logs, is stored and processed on servers located in Canada. AI inference is performed on dedicated GPU infrastructure in Canada. By using the Service, you consent to your data being stored and processed in Canada.

9. Uptime & Availability

We strive for high availability but do not guarantee uninterrupted access. We are not liable for any downtime, data loss, or service interruptions caused by:

Scheduled maintenance (notified in advance when possible)
Third-party service outages (hosting, API providers, Lemon Squeezy)
Force majeure events
DDoS attacks or security incidents

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TARIK FASHION COMPANY AND AGENT FORJA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Tarik Fashion Company, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

Either party may terminate the agreement at any time. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.

13. Modifications

We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable law. For any billing or payment disputes, Lemon Squeezy's dispute resolution process applies as they are the Merchant of Record. For all other disputes related to the use of the Service, the parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.

15. Refunds

Refund eligibility is described in our Refund Policy. All refund requests are processed through Lemon Squeezy as the Merchant of Record.
